I cannot understand your question.
What passcode are you talking about ?. Is the slide to unlock asking for passcode ? if so, you need to restore the phone.
Currently, there is no tool to prevent baseband upgrade on the iPhone4S

There's no way at present to bypass baseband upgrading on the 4S because there is no known way to kick the phone out of recovery mode and back to an activated state. Hopefully with the forthcoming A5 untethered jailbreak, we'll see some more activity on the iPad2 and 4S, but presently, there's no low level exploit known that will kick the phone out of recovery after the baseband does not flash.
Past that, can you explain why you're trying to upgrade the phone without upgrading the baseband? Since no known unlock has been released, there's little reason to do this. Beyond that, the baseband upgrade has no impact on the passcode locking of the phone.
i tried to restore the phone but there is always an error and its asking me to enter the passcode
