i think i may have found the problem, Another google search has found me this that was posted within that last couple of minutes.
Apple’s iOS 5 upgrade servers are slammed, causing 3200 or “internal error” update issues - The Next Web

Well that is good. I thought there was something on my end. I was getting so frustrated, I guess I'll just have to wait.

I had the 3200 code and turned off my norton 360 firewall and got error code 3014 so I turned the firewall back on and allowed Itunes as it was on Auto....and Im now on ios5

I had the same error so I turned off my norton firewall and got a 3014 error so I turned the firewall back on and saw itunes was on auto in the setting so I changed it to allow and the download went through and im on i0s 5

I just waited till the servers weren't so busy and my update worked just fine....

Error 3200 is an activation error caused by an overload of Apple's servers, as kenny1921 mentioned. There is little that can be done from the user perspective to fix this, however, since it's been a day since the release, most people are successfully updating today if they received this yesterday. You shouldn't receive this error again.
