There are some apps in the app store now that require 3.1 or higher.
You get all the new Itunes 9 related features. Not much else. Battery life is similar.

If your phone is factory unlocked then try not to upgrade it. To see the new feature of 3.1 just visit the apple website. and the .2 is for the bug fix only. And I don't think the battery life can improve better.
