Set up as New is the best option. Take smore work, but always gives you the cleanest slate to work from, IMO.

Set up as new is recommended by the dev team as a solution if you are having problems, especially with battery life or network issues.

I have personally found that the combination of set up as new and disabling push on hacktivated iPhones takes my battery life from less than 24 hours to 10+ days

There are many ways to selectively restore the data you need afterwards, I usually just restore SMS and call history and some settings for some appstore apps/games.

No risk. And even if it did, you could reinstall 3.1.2 and re-JB/re-UL with Blackra1n/sn0w.

But no, it will not take away the unlock, just by seting it up in iTunes. Only if it prompts you to "upgrade" or "update" in the future could that happen.

After you upgrade the firmware, it should ask you this question when you first connect it to iTunes. Then click on set up as new.
