But I am still completely lost!

1. I just bought Apple TV yesterday, March 26, and I downloaded Greenpois0n, exactly how the reader above did. I even get the "completed" from the greenpois0n. WHEN plugging in my Apple TV via HdMI, I do NOT get the greenpois0n on main menu (I assume this is the Frontrow menu that starts up when turning on Apple Tv..?)
2. Checking the version on ATV, it says, 4.2.1 (2100). ISN't THIS all that is required???
3. Where the heck do I download the previous version of atv so that i can jailbrake with Greenpois0n???

You are too late, there is no way to downgrade your OS now

It is definitely possible to perform a tethered jailbreak of 4.3.1 (which is what you actually have on your ATV) but not with the currently released version of greenpois0n.

Seasonpass was updated to tethered jailbreak atv2 running iOS 4.3 but I'm not sure if it has been tweaked to support 4.3.1 yet.

Rather than wasting time arguing over what version OS you had, you should have powered up TinyUmbrella and saved your SHSH as the first thing you did. That way you would have probably got the 4.3 SHSH saved (and could actually jailbreak)

I confirm, you can downgrade from 4.2 (iOS 4.3) to 4.1.1(iOs 4.2.1) without saving your SHSH. Mine is new, I upgraded by mistake to iOS 4.3. After reading your post I tried to downgrade, it worked! I was then able to jailbreak.

I had to work around the DFU description in GP, and then got it to JB.
Struggled for quite some time, but this worked on my ATV:
connected the usb cable to my Windows PC, and let the driver be installed automatically.
unplug the cable, and start GP.
Follow the instructions for setting the ATV in DFU, but skipped inserting the power cord, as the ATV got power trough the USB cable.

This solved all issues on my ATV, I think I tried about 20 times, before I decided to give this approach a try, and I successfully got the ATV into DFU on the first attempt.
